Terms of Service

These Terms of Service ("Terms") govern your use of BillDesk Shop — our online point-of-sale, billing, inventory and business-management software (the "Service"). By creating an account or using the Service you agree to these Terms on behalf of yourself and the business you register ("you"). If you do not agree, please do not use the Service.

1. The Service

BillDesk Shop is provided as software-as-a-service through a web browser. Features available to you depend on the plan you subscribe to, as described on our Pricing page. We may improve, add or change features from time to time; we will not materially reduce the core features of a plan you have already paid for during that paid period.

2. Your account

  • You must be the owner of the business you register, or have the owner's permission to manage it.
  • Information you provide at sign-up (business name, owner details, GSTIN, contact details) must be accurate and kept up to date.
  • You are responsible for all activity under your account, including the actions of staff users you create. Keep passwords confidential, give staff only the permissions they need, and remove access for people who leave.
  • Tell us immediately at info@billdesk.shop if you suspect unauthorised access to your account.

3. Subscriptions, payments and taxes

  • Paid plans are prepaid for the selected billing period. Prices are in Indian Rupees and exclude GST unless stated otherwise.
  • Plans are activated only after successful payment confirmation. Cancellation and refunds are governed by our Subscription & cancellation policy, which forms part of these Terms.
  • If your subscription expires, your account becomes read-only until you renew. Your existing records remain available to view and export.
  • We may change plan prices for future billing periods. Changes do not affect a period you have already paid for, and we will give reasonable notice before they apply to you.

4. Your data

  • You own your business data — products, customers, suppliers, invoices, payments and all other records you enter. We process it only to provide, secure and support the Service, as described in our Privacy Policy.
  • Each business account is kept logically separate from every other account; other customers of BillDesk Shop cannot access your data.
  • You can export your data at any time from Export my data. We maintain regular backups, but you are responsible for keeping your own copies of records you are legally required to retain.
  • You are responsible for having a lawful basis to store the personal data of your customers, suppliers and staff in the Service.

5. Your responsibilities and compliance

  • The Service helps you prepare invoices, GST calculations and reports, but you remain responsible for your tax filings, invoice compliance, pricing and statutory records. Please verify tax settings (GST registration, rates, HSN/SAC codes, place of supply) with your tax adviser.
  • You must use the Service only for lawful business purposes and must not:
  • attempt to access another business's account or data, or probe, scan or break the Service's security;
  • upload malicious code, or overload or disrupt the Service;
  • resell, sublicense or copy the Service except as permitted by your plan;
  • use the Service to store or send unlawful, fraudulent or infringing content, or to send unsolicited messages.

6. Third-party services

Some features rely on third parties — for example payment gateways, email providers and the WhatsApp Business Platform. Your use of those services is also subject to their own terms. We are not responsible for outages or charges of third-party services, but we will help you use them correctly with the Service.

7. Availability and support

We aim to keep the Service available at all times, but it may occasionally be unavailable for maintenance, upgrades or reasons beyond our control. We will try to schedule planned maintenance outside business hours and announce it where possible. Support is available through info@billdesk.shop and +91 8360574612 during our business hours.

8. Suspension and termination

  • You may stop using the Service and cancel your subscription at any time.
  • We may suspend or terminate an account that breaches these Terms, is used fraudulently, endangers the security of the Service or other customers, or remains unpaid. Where reasonable, we will give notice and an opportunity to fix the issue first.
  • After termination you may request an export of your data within the retention period described in our policies; after that period the data may be permanently deleted.

9. Intellectual property

The Service, its software, design and content belong to BillDesk Shop and its licensors. Your subscription gives you a limited, non-exclusive, non-transferable right to use the Service for your business during your subscription. Your business data and your logos remain yours.

10. Disclaimer

The Service is provided on an "as is" and "as available" basis. To the extent permitted by law, we do not warrant that it will be error-free or uninterrupted, or that it will meet every specific requirement of your business.

11. Limitation of liability

To the maximum extent permitted by law, BillDesk Shop will not be liable for indirect, incidental or consequential losses, or for loss of profit, revenue or goodwill. Our total liability arising from the Service in any 12-month period is limited to the subscription fees you paid us in that period.

12. Indemnity

You agree to indemnify BillDesk Shop against claims arising from your misuse of the Service, your breach of these Terms, or the content and data you place in the Service.

13. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify account owners by email or in the application before they take effect. Continued use of the Service after the effective date means you accept the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of India. Any dispute will first be attempted to be resolved amicably by contacting us; failing that, it will be subject to the exclusive jurisdiction of the courts at the place of our registered office.
